We are seeking a dedicated and highly motivated contracts management professional with extensive experience in leading all aspects of the contracting process, including contract management, administration, drafting and compliance, negotiations within certain established parameters, and contract close out.  This position reports to the Assistant General Counsel and assists Exide management and employees in the review, negotiation and execution of a variety of contracts and business agreements -- including (i) advice to Procurement on contracts and agreements used or received in the ordinary course of business, with particular focus on the expediency of such responses, and (ii) frequent interaction with employees and management of both the Transportation and Industrial groups to facilitate the resolution of internal stakeholder issues and concerns with contracting matters.  Additionally, this position provides review of global contracts and business agreements and participates in initiatives and transactions (locally and globally) that may be undertaken by Exide; including assisting in the development of a template contract database and streamlining the contract negotiation process.


  • Review and negotiate procurement contracts, customer contracts, distributor and agency agreements, non-disclosure agreements, and other global business agreements.
  • Analyze significant or unique contract requirements, special provisions, or terms and conditions; and identify appropriate circumstances to elevate the review and/or negotiation of contracts or provisions to the Assistant General Counsel.
  • Draft and revise form agreements for use by various internal stakeholders.
  • Provide advice regarding contract disputes and assist in negotiations.
  • Develop and administer contract administration policies, systems, procedures and methods as well soliciting the input of internal stakeholders.
  • Assist with miscellaneous legal projects (e.g., large scale transactions and document reviews or productions).


  • Bachelor’s degree with a minimum 10 years experience in drafting, negotiating, and administering a wide variety of contracts for large businesses.
  • Ability to prioritize and work within deadlines.
  • Excellent computer skills (Microsoft Word and Excel).
  • Ability to review legal documents for accuracy and summarize legal terms and conditions.
  • Excellent written and oral communication skills with a proven ability to work well in a team environment as well as individual projects.
